Partner Terms (Summary)
Plain-English summary of how the LeadLayer AI partner program works. A separate signed agreement may be required before approval.

1. Independent referrers
Partners are independent referrers. They are not employees, agents, contractors, joint-venturers, or legal representatives of LeadLayer AI. No employment, partnership, or franchise relationship is created by participating in this program.
2. No authority to bind
Partners cannot make promises, quotes, guarantees, timelines, deliverable commitments, or any contractual commitments on behalf of LeadLayer AI. All pricing, scope, and contracts are issued directly by LeadLayer AI to the client.
3. Anti-spam & CASL compliance
Partners must not spam, send unsolicited commercial email, scrape contact lists, run cold-call campaigns referencing LeadLayer AI without consent, or violate Canada's Anti-Spam Legislation (CASL) or any equivalent law. Violations result in immediate removal and forfeiture of pending commissions.
4. Honest representation
Partners must represent LeadLayer AI honestly — no fake testimonials, no fake reviews, no inflated claims about results, and no use of LeadLayer AI branding outside materials we provide or approve.
5. Commission
Commission is paid only on referred businesses that become paid, launched clients. Standard payout is 50% after the client's deposit clears and 50% after final payment / launch. Refunded or cancelled projects produce no commission (and any advanced amount is reclaimed). Attribution window is 60 days from the first click on the partner's referral link; first-touch wins on conflicts.
6. Payouts
Payouts are processed manually (typically Interac e-Transfer in CAD), reviewed monthly. There is no portal or dashboard in this version of the program.
7. Tax responsibility
Partners are solely responsible for their own tax reporting, including any sales tax, income tax, or self-employment obligations in their jurisdiction. LeadLayer AI may issue required tax slips (for example a T4A in Canada when cumulative payments to a partner reach C$500 in a calendar year) and will request the information needed to do so.
8. Confidentiality
Partners must not disclose non-public information about LeadLayer AI clients, pricing offered to specific clients, internal processes, or any data they receive in the course of a referral.
9. Termination & program changes
LeadLayer AI may modify, suspend, or terminate the partner program, or any individual partner's participation, at any time and for any reason — including without cause. Pending verified commissions on already-launched clients will still be paid.
10. Separate signed agreement
These terms govern standard referral activity. A separate signed agreement may be required for higher-volume partners, managed campaigns, custom arrangements, or any partner approved for expanded responsibilities. Where a signed agreement exists, it controls if there is any conflict with this summary.
11. Provisional Business Scout status
Some applicants may be provisionally enrolled and receive a Scout code/link before full manual review. Provisional status allows referrals to be tracked, but it does not guarantee commission, approval, payout, or any authority to represent LeadLayer AI. LeadLayer AI manually reviews referral validity, attribution, client fit, rule compliance, commission eligibility, and payouts.
A tracked referral code does not guarantee commission. Random scraped lists, spam leads, fake leads, duplicate businesses, businesses already in LeadLayer AI's pipeline, or leads created through misrepresentation do not qualify. LeadLayer AI's main market is Canada and the U.S.; other referrals may be reviewed case by case. There is no partner dashboard yet — email and direct communication are the V1 channel.
